Merger

What are the objectives of the merger of the three companies?
We aim at bringing into existence one of the largest consumer finance companies in Japan that is focused on the credit card and installment credit businesses. It will be equipped with expertise and agility through the combination and integration of the customer bases, sales power, know-how and other assets of each company. While keeping a sense of unity as a member of SMFG group and at the same time maintaining management independence a s listed corporation, we will seek to create a people-oriented original business model with characteristics not seen in other companies and will aim at maximizing its corporate value through the development and furtherance of the strengths of each company, using as driving force the synergy of the credit card and installment credit businesses as a result of the merger.
What is the method of the merger?
It is a merger by absorption. OMC Card, Inc. is the surviving company, and Central Finance Co., Ltd. and QUOQ Inc. are dissolved.

  1. For the shareholders on the lists of shareholders of CF and QUOQ at the date immediately preceding the effective date of the merger ratio, the allotment can be made as follows; One share of CF’s common stock is allocated to 0.85 share of OMC Card’s common stock. One share of QUOQ’s common stock is allocated to 20 shares of OMC Card’s common stock. However, the allotment is not made to the treasury stocks owned by CF (9,002,000 shares) and the treasury stocks owned by QUOQ (480,000 shares).

What is the Cedyna’s fiscal year?
Our fiscal year is from April 1 to March 31.
When do you release the financial results?
The financial results of the fiscal year are released around early May, those of the first quarter are released around late July, those of the second quarter are released around mid-November, and those of the third quarter are released around late January. We post the dates on the IR Calendar as soon as they are fixed.
